1. About TEN3

These Terms of Service ("Terms") govern your access to and use of the TEN3 platform, including all websites, applications, tools, features, and services operated by TEN3 Limited (together, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility

You may only use the Platform if:

• You are at least 16 years of age; and
• You have the legal capacity to enter into binding agreements.

If you are under 18 years of age, you confirm that you have obtained the consent of a parent or legal guardian to use the Platform.

3. Nature of the Platform

TEN3 provides an online platform designed to facilitate discovery, communication, and information sharing between individuals and organisations within the sports ecosystem.

TEN3:

• Does not act as an employer, recruiter, agent, broker, advisor, or representative;
• Is not a party to any agreement formed between users; and
• Does not guarantee outcomes including selection, contracts, scholarships, sponsorships, or career progression.

All interactions, negotiations, and agreements are conducted solely between users and at their own risk.

4. Accounts and Access

You may be required to create an account to access certain features of the Platform.

You agree to:

• Provide accurate, current, and complete information;
• Maintain the confidentiality and security of your login credentials; and
• Promptly notify TEN3 of any unauthorised access or suspected security breach.

You are solely responsible for all activity that occurs under your account.

5. User Content

You retain ownership of content you submit, upload, or otherwise make available on the Platform ("User Content").

By submitting User Content, you grant TEN3 a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable licence to host, store, use, reproduce, modify, analyse, display, distribute, and otherwise process that content for the purposes of operating, securing, improving, and developing the Platform, including analytics, insights, and aggregated or anonymised outputs.

You represent and warrant that:

• You have all rights, consents, and authority necessary to submit the User Content; and
• The User Content does not infringe any law or third-party rights.

By creating a player profile on TEN3, you consent to be contacted by verified clubs and organisations via the email address associated with your account for recruitment and scouting purposes. This contact is a core function of the Platform.

6. Use of Data and AI

TEN3 may collect and use interaction data, usage data, metadata, and any data input by users (including User Content) to operate, maintain, analyse, improve, secure, and develop the Platform and related services, and for any other lawful business purpose.

For the avoidance of doubt:

• TEN3 does not permit Platform data to be used for training third-party artificial intelligence or machine learning models.
• Unauthorised automated access, crawling, scraping, harvesting, or model training is expressly prohibited.
• These restrictions apply in accordance with applicable technical controls, including robots.txt, ai.txt, or similar mechanisms, where implemented.

Any unauthorised use of Platform data for AI training, data extraction, or automated analysis constitutes a material breach of these Terms.

7. Prohibited Conduct

You must not:

• Provide false, misleading, or deceptive information;
• Harass, abuse, discriminate against, or harm any person;
• Upload malware, introduce vulnerabilities, or interfere with Platform operations;
• Scrape, copy, harvest, extract, or exploit the Platform or its content without express permission;
• Use the Platform or its resources to collect, extract, or steal contact information for unsolicited communications, marketing, recruitment, or any unauthorised purpose;
• Use bots, scripts, automation tools, or AI systems to access or analyse the Platform without prior written consent;
• Use the Platform for any unlawful, unethical, deceptive, or bad-faith purpose.

TEN3 may investigate suspected breaches and take any action it considers appropriate at its sole discretion.

8. Suspension and Termination

TEN3 reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate your account and access to the Platform at any time, with or without notice, and for any reason.

This includes circumstances where TEN3 reasonably believes that you:

• Have breached these Terms;
• Are acting in bad faith;
• Are engaging in unlawful, deceptive, or unethical conduct;
• Are misusing Platform data or resources; or
• Pose a risk to other users, TEN3, or the integrity of the Platform.

TEN3 may delete or retain associated data and content to the extent permitted by law.

You may close your account at any time.

9. Disclaimers

The Platform is provided "as is", "as available", and "with all faults".

To the maximum extent permitted by law, TEN3 disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, reliability, fitness for purpose, availability, non-infringement, and error-free operation.

TEN3 does not warrant that:

• The Platform will meet your requirements;
• Any information is accurate, complete, or current; or
• Any interaction between users will result in a particular outcome.

10. Limitation of Liability

To the maximum extent permitted by law, TEN3 Limited and its directors, officers, employees, contractors, and affiliates will not be liable for any loss or damage whatsoever, whether in contract, tort (including negligence), equity, statute, or otherwise, arising from or in connection with:

• Use of or inability to use the Platform;
• Reliance on information available on the Platform;
• Interactions or agreements between users;
• Data loss, system outages, or security incidents.

This includes indirect, incidental, special, exemplary, punitive, or consequential losses, loss of profits, loss of opportunity, loss of reputation, loss of data, or business interruption, even if TEN3 has been advised of the possibility of such loss.

Where liability cannot be excluded, TEN3's total aggregate liability is strictly limited to the lesser of:

• NZD $100; or
• The total amount paid by you to TEN3 in the twelve months preceding the event giving rise to the claim.

11. Consumer Guarantees

Nothing in these Terms excludes rights that cannot be excluded under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.

Where liability cannot be excluded, TEN3's liability is limited, at its option, to:

• Resupplying the services; or
• Paying the cost of resupply.

12. Indemnity

You agree to indemnify and hold harmless TEN3 Limited and its directors, officers, employees, and contractors from all claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform;
• Your User Content;
• Your breach of these Terms; or
• Your violation of any law or third-party rights.

13. Class Action Waiver

To the maximum extent permitted by law, you agree that any claim must be brought only in your individual capacity and not as a plaintiff or class member in any collective or representative action.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of New Zealand.

You submit to the exclusive jurisdiction of the courts of New Zealand.

15. Changes

TEN3 may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
